German Nominee Director & GmbH Management FAQs
Answers to common questions from international investors, corporate groups, funds and their advisers about external directors and German company administration.
Requirements and eligibility
Does a German GmbH need a German-resident managing director?
German company law does not generally require a GmbH's managing director to be a German resident or citizen. A Germany-based director may nevertheless improve local availability, day-to-day coordination and administration. Banking, sector-specific regulation or other circumstances may introduce additional practical requirements.
Can a foreign shareholder appoint an external managing director?
Yes, provided the candidate meets applicable eligibility requirements and is properly appointed. Foreign ownership does not by itself prevent the appointment of an external Geschäftsführer. The company's activity, required availability and onboarding checks still matter.
What is the difference between a nominee director and a Fremdgeschäftsführer?
Nominee director is a commercial expression often used by international clients. Fremdgeschäftsführer refers to a managing director who does not hold shares in the GmbH. Both descriptions can refer to a genuinely appointed statutory officer; neither creates a category of director without legal responsibilities.
Can a company have more than one managing director?
Yes. A GmbH can appoint several managing directors, with representation arrangements determined by its articles and commercial-register entries. Internal allocation of functions does not generally remove each director's mandatory duties.
Governance, instructions and liability
Can shareholders instruct an external GmbH managing director?
Shareholders normally have instruction rights within the legal framework and the company's corporate arrangements. Instructions cannot override mandatory legal duties, including obligations relating to solvency, capital maintenance and compliance. The actual arrangement should be carefully documented.
Can a nominee director act only as a name on the commercial register?
No. An appointed GmbH managing director is a real statutory officer. A merely formal appointment that prevents the director from performing legally required oversight is inconsistent with responsible directorship.
Who bears responsibility for compliance and insolvency matters?
Responsibility depends on the particular duty and facts, but the managing director retains significant statutory obligations. Shareholder instructions and outsourcing arrangements do not automatically remove these duties. Any mandate requires adequate information and decision-making powers.
How can conflicts of interest be managed in a joint venture?
Parties may appoint a professional external director and agree on reserved matters, reporting lines, escalation rules and conflict procedures. The director remains subject to duties owed to the company, not to an individual shareholder bloc.
Can GDS provide a supervisory or advisory board member?
Mandates in supervisory boards, advisory boards or comparable bodies can be considered individually. The required eligibility, authority, liability and conflicts profile differs from a GmbH directorship.
Structures and use cases
Which private-equity entities can use external management?
Potential mandates include TopCos, MidCos, BidCos, MIP companies and other holding or acquisition vehicles. The management scope must reflect the function and risk of the specific entity, not merely its label.
Can a fund outside Germany appoint a director for a German holding company?
A foreign sponsor or shareholder may arrange for external GmbH management, subject to legal eligibility, due diligence, governance requirements and the company's real operational needs. We would evaluate the entire control and reporting framework.
Does appointing an external managing director keep a FinCo outside a German VAT group?
Not automatically. German VAT-group status requires evaluation of financial, economic and organizational integration under section 2(2) no. 2 UStG. The actual ability to control day-to-day management matters, and third-party management alone is not a guarantee. Obtain case-specific tax advice.
Can an SPV hold real estate, contracts or other assets without employees?
Many asset-holding structures have limited staffing. Nonetheless, a company must meet its statutory, contractual and any sector-specific requirements. The director must have sufficient information, time and support to discharge their duties.
Can an external director manage a company with tax-loss carryforwards?
Potentially, but neither the director appointment nor continued existence of the company ensures preservation or use of its tax losses. The impact of share transfers, restructurings and business activities requires separate tax assessment.
Can GDS take on management during a carve-out or restructuring?
A transition mandate may be possible after reviewing the company's activities, liquidity, risks and information availability. We do not treat an external directorship as a way to avoid insolvency-related duties.
Appointment, operations and contact
How is a German GmbH managing director appointed?
An appointment normally requires a valid shareholder resolution and a filing to the commercial register, typically involving a notary. The director must meet legal eligibility conditions and make the relevant declarations. Exact steps vary by the company's circumstances.
What information do you need before accepting a mandate?
Normally we discuss the corporate chart, beneficial owners, business purpose, current activities, financial position, bank arrangements, reporting needs, existing contracts and proposed decision powers. Additional AML/KYC material may be necessary.
Can the company use a registered office in Germany?
GDS offers registered-office and administration-related services as described on our services page, subject to suitability, proper corporate registrations and scope of the engagement.
Who handles bookkeeping and tax filings?
Our service scope distinguishes corporate administration and statutory management from regulated legal and tax advice. On request, we can arrange accounting and tax-filing services from a reputable external audit and tax advisory firm. We are also happy to cooperate with your existing or preferred advisers.
What is the process for replacing or removing a director?
A GmbH can generally appoint and remove managing directors by appropriate corporate action, subject to its articles and the specific contractual position. Changes must be documented and filed where required; a safe handover also requires access to company records and ongoing obligations.
How are fees and onboarding timelines determined?
Fees and timing depend on the structure, complexity, management duties, required reporting, risk profile and the completeness of due-diligence material. We discuss a defined scope and commercial proposal after an initial assessment.
What happens if the entity must be liquidated?
A voluntary liquidation involves formal corporate steps, creditor and reporting requirements, and potentially a liquidator appointment. Insolvency must be assessed separately; professional legal and tax advice is often required.
Have a question about a specific corporate structure?
We can discuss your proposed entity, management scope and governance requirements. These answers provide general information and do not replace entity-specific legal or tax advice.
